Public offer for voluntary donation 

 

Tashkent  15.05.2023 

SOS Children's Villages of Uzbekistan Association, represented by the director Gulnoza Abidova, acting on the Statute, hereinafter referred to as the “Association”, hereby proposes legal entities and individuals or their representatives, hereinafter referred to as the “Person”, collectively referred to as the “Parties”, to conclude an Agreement about voluntary donation on the following conditions: 

1. General provisions on a public offer

1.1. This proposal is a public offer in accordance with part 2 of article 369 of the Civil Code of the Republic of Uzbekistan. 

1.2. The acceptance of this offer is the transfer of funds to the bank account of the Association as a voluntary donation by a Person to support and ensure the statutory activities of the Association. 

1.3. The public offer comes into force from the day following the day of its publication on the official website of the Association - sos-kd.uz, hereinafter referred to as the “website”. 

1.4. The text of this offer may be changed by the Association without prior notice and is valid from the day following the day of publication on the website. 

1.5. The Public offer is open-ended and is valid until the day following the day of posting on website notice of cancellation of the Public offer. The Association has the right to cancel the Public offer at any time without explanation. 

1.6. The invalidity of one or more terms of the Public offer does not entail the invalidity of all other terms of the Public offer. 

1.7. By accepting the terms of this Public offer, the Person confirms the voluntary nature of the donation. 

1.8. An agreement shall be considered as a concluded in writing, once this Public offer is accepted. 

2. Subject of the contract

2.1. A person as a voluntary donation transfers his own funds to the bank account of the Association, and the Association accepts the donation and uses it to support the organization and fulfill its statutory goals. The fact of donation transfer in the manner specified in paragraph 5 of this Public offer indicates the full consent of the Person with the terms of the agreement on voluntary donation set forth in this Public offer. 

2.2. Performance by the Person of the actions specified in paragraph 2.1. of this Public offer is a donation in accordance with Article 511 of the Civil Code of the Republic of Uzbekistan. 

3. Activities of Association

3.1. The Association carries out its activities in accordance with its Statute, registered by the Ministry of Justice of the Republic of Uzbekistan for No. 302-p dated 30.09.2010.

4. Conclusion of the contract

4.1. The date of acceptance of the Public offer and, accordingly, the date of conclusion of the Agreement is the date of transfer of funds to the bank account of the Association. The place of conclusion of the Agreement is the city of Tashkent. 

4.2. The terms of the Agreement are determined by the Public offer as amended (subject to amendments and additions) in force on the day the payment is fulfilled. 

5. Donation

5.1. The person determines the amount of the voluntary donation and transfers it to the bank account of the Association by bank transfer and/or using a bank card on the terms of this Agreement. 

5.2. When transferring a donation through a bank, the purpose of the payment should indicate “donation in accordance with the public offer dated 05/15/2023”.

5.3. When making a debit from a bankcard, you must enter the code received via SMS for confirmation.

When making a debit from a bankcard through the applications of payment systems, you must follow the instructions of the payment systems.

6. Obligation of Association

6.1. The Association obliges to use the received funds from the Person strictly in accordance with the current legislation of the Republic of Uzbekistan and the Statute of the Association. 

7. Other terms

7.1. In the event of disputes and disagreements between the Parties under this agreement, they shall be resolved through negotiations. If it is impossible to resolve the dispute through negotiations, disputes and disagreements shall be resolved in accordance with the legislation of the Republic of Uzbekistan.
